• Advised a distributor of building materials on general corporate matters, including structuring its distribution agreements, the purchase and sale of real property, employment issues, supplier agreements and its product warranty.
• Represented an international bottled water distributor in its California-based litigation matters and acted as counsel in connection with the subsequent sale of assets and securities to a Southern California conglomerate.
• Represented a fruit distributor in organizing its business and contract work with growers. Helped them with a California ALB (Agriculture Labor Board) dispute caused when one grower breached a union contract.
• Represented a prominent clothing and shoe designer and manufacturer in the entry into distribution agreements with entities throughout Europe and the Middle East.
• Assisted multi-national manufacturer and distributor of condoms with the preparation of Proprietary Information and Work Product agreements with prior employees and consultants related to intellectual property.
• Represented a major office coffee supplier in a chapter 11 reorganization and the ultimate sale of the company.
• Assisted a fruit grower supply company with employee handbook, employee termination, disciplinary action, developing new forms, policies and procedures.
