• Represented the senior management of a leading supplier of ferrous wire and bars for aerospace, automotive, commercial and industrial applications in a management buy-out of the company, including the necessary financing for the transaction. Also, assisted company in structuring its relationship with a multi-national importer of iron rod from China and prepared associated exclusive supply and joint venture agreements. Advised company in its acquisition of the assets and real property of an Ohio entity to broaden its product offerings.
• Represented a leading manufacturer of high performance, specification grade outdoor lighting in suing a vendor who provided a defective product.
• Investigated a claim of sex-based harassment against a senior executive of a manufacturing company, including interviews with the alleged victim and perpetrator and witnesses. Made recommendations for counseling and worked with other professionals in bringing the matter to a proper conclusion.
• Helped to defend against, and ultimately to defeat, a preliminary injunction motion filed against a manufacturer of children's toys claiming trade dress infringement for visual similarities between a children's motorbike and the plaintiff's adult motocross bike.
• Represented a manufacturer of a grinding, sanding and polishing device used in the jewelry, woodworking and medical devices industries in obtaining an exclusive supply arrangement from 3M that included the right to utilize certain of 3M's trademarks in connection with the marketing and promotion of the product.
• As general corporate counsel, advised full service printing company on all legal matters for over forty years, including prosecution and maintenance of dozens of trademarks, employment law advice, advertising law advice and representation in contract disputes
• Counseled full-service printing company on a variety of employment matters, including the drafting of a severance package for a departing executive.
• Advised custom printing company of personalized items with licensing agreements and general corporate matters.
• Represented the principals of a printer/distributor of specialty products in connection with the sale of stock and subsequent reorganization of the business.
